Board of Directors
The Board of Directors currently consists of ten members and is chaired by Tom de Swaan. It is responsible for determining the overall strategy of the Group and for the supervision of senior management. It holds the ultimate decision-making authority for Zurich Insurance Group Ltd, except for those decisions reserved to the shareholders. Board meetings are held at least six times per year.
The members of the Board of Directors are elected by the shareholders at the Annual General Meeting (AGM). The Board constitutes itself in its first meeting, except for the Chairman and the members of the Remuneration Committee who, as required by the Ordinance Against Excessive Compensation (AEC), in force since January 1, 2014, must be elected by the shareholders. The Ordinance AEC requires that the term of office of a board member ends after completion of the next AGM. As a consequence, each member of the Board will have to be re-elected at the AGM each year, commencing with the AGM in 2014. All members are non-executive directors, independent of management.
