Authorized Share Capital 6.0 Million Shares with a Nominal Value of CHF 10 Issuance of new shares, also in partial amounts, is permitted for general business expansion until 1 June 20043. The shareholders’ pre-emptive rights may be restricted or withdrawn
	for the take-over of an enterprise, of parts of an enterprise or of participations or if issuing shares for the financing including refinancing of such transactions, or
	in connection with the quotation of shares on foreign stock exchanges.

Contingent Share Capital

5,481,828 Shares⁴ with a Nominal Value of CHF 10

Issuance of new shares relating to the exercise of conversion and/or option rights granted in connection with the issuance of bonds or similar debt instruments by Zurich Financial Services or one of its Group companies in national or international capital markets and/or by exercising option rights which are granted to shareholders. The shareholders’ pre-emptive rights may be restricted or withdrawn under certain conditions.

Issuance of shares to employees of Zurich Financial Services and Group companies. The shareholder pre-emptive rights are excluded.

4	Based on the resolution of the Annual General Meeting on 16 May 2002, the contingent share capital was increased to 8,000,000 shares with a nominal value of CHF 10 each. During 2002 all MILES were exchanged for 2,518,172 registered shares out of the contingent capital, leaving a remaining contingent capital of 5,481,828 shares as at 31 December 2002.
