Shares registered in the share ledger as of December 31, 2007
The shares registered in the share ledger as of December 31, 2007, were owned by 107,660 shareholders, of whom 102,074 were private individuals holding 18.7% of the registered shares (or 11.7% of all outstanding shares), 2,124 were foundations and pension funds holding 7.1% of the registered shares (or 4.4% of all outstanding shares), and 3,462 were other legal entities holding 74.2% of the registered shares (or 46.3% of all outstanding shares).
Disclosure of shareholdings according to article 20 of Swiss Stock Exchange Law
As per October 24, 2008, Zurich Financial Services announced a change in the composition of the group that holds own shares (please see news release of October 30, 2008) and disclosed its actual holdings of own shares along with its subsidiaries as per this date. The purchase positions amount to 5,365,933 shares, which equals 3.776% of the share capital and the voting rights of Zurich Financial Services according to the entry in the Commercial Register. The sale positions include 1,948,931 call options issued for employees. The exchange ratio for all options is 1:1. The options issued therefore equal 1.371% of the share capital and voting rights of Zurich Financial Services according to the entry in the Commercial Register.
On July 11, 2008, Zurich Financial Services' holdings of own shares along with its subsidiaries exceeded the threshold of 3% by holding a purchase position of 4,264,848 shares, which equals 3.001% of the share capital and the voting rights of Zurich Financial Services according to the entry in the Commercial Register. The sale position includes 2,036,348 call options issued for employees. The exchange ratio for all options is 1:1.The options issued therefore equal 1.433% of the share capital and voting rights of Zurich Financial Services according to the entry in the Commercial Register.
On June 11, 2008, Credit Suisse Group, Paradeplatz 8, Zurich, Switzerland, informed Zurich Financial Services that as of June 5, 2008, it has exceeded along with its subsidiaries the threshold of 3% by holding a purchase position of 3.32% (containing registered shares, long call options and short put options) of the share capital and the voting rights of Zurich Financial Services entered in the Commercial Register. Furthermore it reported a sale position in Zurich Financial Services shares (containing long put options and short call options) which equals 2.66% of the share capital and the voting rights entered in the Commercial register.
