Articles of association

The articles of association are the basic legal document or the constitution of a company. They describe the business purpose of Zurich Insurance Group Ltd and its basic organizational framework.

Organizational rules

The organizational rules constitute the Group's primary governance guidelines. They define the functions, responsibilities and authorities of the corporate bodies of Zurich Insurance Group Ltd and implement and supplement legal and regulatory requirements and requirements pursuant to the articles of association.

The document consists of the organizational rules and the following two annexes:

• Annex A – Charter for the committees of the board of directors of Zurich Insurance Group Ltd
• Annex B – Nomination principles regarding the nomination and ongoing qualifications of members of the board and regarding the succession planning for members of the executive committee
